Osamill Endüstri San. ve Tic. Ltd. Şti. General Sales Agreement and Terms

1. Scope

1.1 This General Sales Agreement and Terms apply to all commercial relationships between Osamill Endüstri San. ve Tic. Ltd. Şti. (hereinafter referred to as the "Company") and its business partners, customers, suppliers, and other contracting parties.
1.2 Any different or additional terms proposed by the counterparty shall not be valid unless explicitly approved by the Company in writing.

2. Data Protection

2.1 The Company collects, processes, and uses personal data in accordance with the European General Data Protection Regulation (GDPR) and other relevant legal regulations.
2.2 Detailed information about the processing of personal data can be found in the Company's Privacy Policy.

3. Formation of the Contract

3.1 The offers made by the Company are not binding and are subject to change.
3.2 A contract is deemed to be concluded only when it has been confirmed in writing by the Company.
3.3 Any modifications or additions to the contract must be in writing.

4. Prices and Payment Terms

4.1 Prices are in USD, unless otherwise specified, and exclude legal Value Added Tax (VAT).
4.2 Invoices must be paid within 7 days of the invoice date, without any deductions.
4.3 In case of late payment, the Company reserves the right to charge late interest at the legal rate.

5. Order Cancellation for Custom Equipment

5.1 Orders for custom equipment or personalized products cannot be canceled after the order date. Any request for change or cancellation of such orders will only be accepted before production begins.
5.2 A 35% prepayment is required before the production of custom equipment or personalized products can begin.
5.3 If a custom or personalized product is canceled after production has started, the full invoice amount must be paid.

6. Delivery Terms

6.1 Delivery dates are only binding if confirmed in writing.
6.2 In case of delays due to force majeure or unforeseen circumstances, the Company reserves the right to extend the delivery period reasonably.
6.3 Shipments will be made only after full payment of the invoice.
6.4 Once the delivery receipt is signed, no claims can be made against the Company, even if the package is not received or if the products inside are damaged or missing.

7. Warranty and Liability

7.1 User errors are not covered under warranty.
7.2 Visible defects must be reported in writing no later than 14 days after the receipt of the goods.
7.3 Used and worn-out products are not covered under warranty.

8. Retention of Title

8.1 The delivered goods remain the property of the Company until the full sale price has been paid.
8.2 The customer is responsible for using the goods with care and for insuring them against theft, fire, and water damage.

9. Final Provisions

9.1 The courts and enforcement offices in Bursa, Turkey, shall have jurisdiction over this agreement.
9.2 In case of any dispute arising from or in connection with this agreement, the court in the location of the Company's headquarters shall have jurisdiction.
9.3 If any provision of this agreement becomes invalid, the remaining provisions shall remain valid.
9.4 In case of a dispute, the parties shall initially aim for mutual resolution through discussions.
9.5 If the dispute cannot be resolved through negotiation or alternative dispute resolution methods, the matter may be referred to the court.

10. Termination

10.1 This agreement shall remain in effect until the customer cancels the order or the seller cancels the order. The seller may unilaterally terminate the agreement by canceling the customer’s order if the customer violates any provision of this agreement.

11. Intellectual Property Rights

11.1 The Company retains all intellectual property rights to the products it manufactures.
11.2 The customer may not sell, reproduce, alter, or engage in any other activity related to the intellectual property rights of the products.

12. Digital Communication and Signature

12.1 The parties agree that the transmission, signing, and approval of this agreement in digital form shall be considered valid.
12.2 Communications made by email or other digital means will be considered official communications.
